United Finance PLC is a public liability company and wholly owned subsidiary of United Group Limited.

It was set up in 2000 with the primary aim of raising finance through the public capital markets to finance the operations and investments of the Group. Over the years United Finance has issued three corporate bonds which were successfully taken up.

The current listed securities issued by the company in 2014 are €8,500.000 unsecured bonds at 5.3% maturing in 2023.

Strategic Objectives

United Finance principal activity is to raise financial resources from capital markets to finance the operations and capital projects of the United Group of companies.

Company Structure

The Company, whose registered office is at Pinto Business Centre, Level 4, Triq il-Mithna, Qormi, QRM 3104 is a public limited company incorporated and registered under the Companies Act and operating and domiciled in Malta, having a company registration number C10233 with an authorised share capital of €2,500,000 divided into 2,500,000 shares of €1 each. The issued share capital is 2,329,373 divided into 2,329,373 ordinary shares of €1 each, all of which are fully paid and subscribed by United Group Limited. The listed securities issued by the Company in 2014 are €8,500,000 5.3% Unsecured Bonds 2023.

The current directors of the Company are: Mrs. Carmen Gatt Baldacchino – Chairperson Mr. Edmund Gatt Baldacchino CEO – Director Mr. Simon Gatt Baldacchino – Director Mr. Joseph F.X. Zahra – Non-Executive Director Mr. James Bonello – Non-Executive Director The Company is wholly owned by United Group Limited. The members of the Audit Committee are Mr James Bonello as Chairman, Mr. J. F.X. Zahra and Ms. Helga Ellul. All members are independent members. The statutory auditors of the Company are PWC.
